General Terms and Conditions of Purchase of Meat Tube Sp. z o.o.

1. General Terms
1.1 All purchase orders, services and offer shall
be made exclusively on the basis of these
General Terms and Conditions of Purchase
of Meat Tube Sp. z o.o.
1.2 These conditions apply to all future services
or offer.
2. Purchase order
2.1 Negotiations to determine the essential
provisions of the contract end with the
conclusion of the purchase order.
Negotiations are conducted by phone or email.
2.2 Successful negotiations end with the
preparation of a purchase order by a Meat
Tube Sp. Z o.o. employee. The signed
purchase order is sent to the customer via
e-mail.
2.3 The purchase order will contain:
specification of the parties to the contract,
subject of the contract, specification of the
method of delivery, unit and total price,
payment date, method of payment and all
other data relevant to the proper
performance of the contract.
2.4 The signed purchase order must be
returned to Meat Tube Sp. Z o.o. no later
than 24 hours after its receipt. If the signed
contract is not delivered within the
prescribed time, it is assumed that the
purchase order was concluded on the date
of expiry of the indicated period.
2.5 The contract is signed by persons
authorized to conclude contracts.
2.6 By signing the agreement declares to have
read and accepted the content of the
General Terms and Conditions of Purchase
of Meat Tube Sp. z o.o..
3. Payment
3.1 The price and currency agreed during the
negotiations are included in the purchase
order.
3.2 Payment is made by bank transfer to the
bank account indicated in the invoice, the
time limit resulting from the Purchase
order.
3.3 In the case of a credit limit, cooperation
may take place only within the granted
limit. In the event of exceeding the limit or
losing it, a prepayment should be made for
the ordered goods.
4. Delivery
4.1 Delivery takes place on the terms
established during negotiations, recorded in
the purchase order.
4.2 All trade terms are refer to the most
current terms of Incoterms issued by the
International Chamber of Commerce in
Paris that are binding at the moment of
conclusion of the Purchase order.
4.3 The goods should be packed as agreed in
the Purchase order. Marking of purchased
goods should be in accordance with
possible instructions of Meat Tube Sp. z
o.o..
5. Quality
5.1 The Seller warrants that the goods at the
time of delivery will comply with the
previously presented product specification
and applicable standards.
5.2 The seller warrants that he has presented
certificates and authorizations to transport
cargo.
6. Complaints
6.1 The seller is informed that the goods sold to
Meat Tube Sp. z o.o. will be resold by Meat
Tube Sp. z o.o. It will not be possible for
Meat Tube Sp. z o.o. to personally check the
goods. Accordingly, the seller agrees that
any written notices of defects received
from the end customer shall be deemed to
be notices from Meat Tube Sp. z o.o..
6.2 The end customer will check the purchased
goods for quantitative and quality defects
immediately upon arrival of the goods at
the place of destination.
6.3 The complaint should be submitted in
writing and contain: Purchase order
number, description and quantity of the
goods complained about, documents or
photos confirming the condition of the
goods, a proposal to consider the
complaint.
6.4 The complaint should be considered within
no more than 14 days from the date of
acceptance of the application.
7. Force majeure
7.1 The appearance of circumstances of an
extraordinary nature, which hinder or
postpone the performance of the contract,
after signing the Purchase order, releases
Meat Tube Sp. z o.o. from liability.
7.2 Extraordinary circumstances included in
point 7.1: war, riots, terrorist activities,
strikes, natural disasters, transport
accidents, currency restrictions, import and
export bans, interruption of operations and
other extraordinary circumstances beyond
the control of Meat Tube Sp. z o.o. .
8. Jurisdiction and applicable law
8.1 All concluded are subject to the jurisdiction
of the Polish courts.
8.2 All concluded agreements are subject to
Polish law
